Terms of Service

These Terms of Service ("Terms") govern your access to and use of the coaching platform at victorjrosario.com (the "Service"), operated by The Equation Agency LLC, a Florida limited liability company founded by Victor J. Rosario ("we," "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

The Service provides online business coaching delivered through an AI system trained on Victor J. Rosario's methodology. Certain tiers also include live human coaching sessions, as described on that tier's offering at the time of purchase.

2. AI disclosure

You understand and agree that coaching content is generated primarily by an artificial intelligence system. AI-generated guidance may contain errors or omissions and should be reviewed with your own judgment. Where a tier includes human sessions, those are provided separately and are clearly identified.

3. Not professional advice

The Service provides general business education and coaching. It is not financial, investment, legal, tax, accounting, or other licensed professional advice, and no fiduciary or professional-client relationship is created. You are solely responsible for decisions you make. For advice specific to your situation, consult a qualified professional.

4. Accounts

You must provide accurate information, keep your credentials confidential, and are responsible for all activity under your account. You must be at least 18 years old to use the Service.

5. Fees, billing, and plans

• Prices are shown at checkout. All engagements are billed monthly by subscription through Stripe — there are no one-time lump-sum charges.
• Strategy Intensive is billed monthly on a month-to-month basis with no long-term commitment.
• The 90-Day Transformation is a fixed 3-month program billed monthly; it collects three monthly payments and then completes automatically.
• The Private Advisory Retainer is a recurring monthly subscription with a six-month minimum commitment. It renews automatically each month until cancelled in accordance with that commitment.
• Except where required by law, fees already billed are non-refundable once a coaching engagement has begun.

6. Cancellation

You may cancel a monthly engagement after satisfying any applicable minimum commitment; access continues through the end of the paid period. Fixed-term programs end when their term is complete.

7. Acceptable use

You agree not to misuse the Service, including by attempting to access it without authorization, reverse-engineer or extract the underlying coaching methodology or prompts, resell or redistribute coaching output as a competing service, exceed or circumvent usage limits, or use the Service for unlawful purposes.

8. Intellectual property

The Service, including the coaching methodology, prompts, software, and content, is our property and is protected by law. You receive a limited, non-transferable, non-exclusive license to use the Service for your own business. You retain ownership of the business information you provide.

9. Confidentiality

We treat the business information you share as confidential and use it only to provide the Service, as described in our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant any particular business result, revenue, or outcome. Your results depend on many factors outside our control, including your own execution.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the Service or your violation of these Terms.

13. Changes to these Terms

We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the United States and the State of Florida, without regard to conflict-of-laws rules. Disputes will be resolved in the courts located in Florida.
